WHEREBY:
1. The following phrases shall throughout this agreement have the
following meaning:
* "RESOURCES" refer to the MULTEXT-East language resources,
containing, for Bulgarian, Croatian, Czech,
English, Estonian, Hungarian, Lithuanian, Macedonian,
Persian, Polish, Resian, Romanian, Russian, Serbian, Slovak,
Slovene, Ukrainian, some or all of the following resources:
MULTEXT-East morphosyntactic specifications; MULTEXT-East
morphosyntactic lexica; MULTEXT-East morphosyntacticaly
annotated "1984" corpus; MULTEXT-East parallel, comparable
and speech corpus; and associated documentation.
* "Research Purposes" means only those purposes associated
with research using, incorporating or based upon RESOURCES
(in whole or in part) or any copies of RESOURCES, and
excludes the development or commercial exploitation of any
product or prototype product incorporating, using or based
upon RESOURCES or any parts of RESOURCES. (in whole or in
part) or any copies of RESOURCES, and excludes the
development or commercial exploitation of any product or
prototype product incorporating, using or based upon
RESOURCES or any parts of RESOURCES.
* "Acknowledgement" means that use of RESOURCES resulting in
publication should acknowledge this fact in the said
publication by referencing the relevant papers by
DISTRIBUTORS presenting the RESOURCES and the handle to the resources.
2. In consideration of continued observance by the USER of all the
terms and conditions contained in this agreement the DISTRIBUTORS
agree to pass the RESOURCES to the USER and grant to the USER a
non-exclusive licence to use the RESOURCES exclusively for
Research Purposes and with Acknowledgement as defined above.
3. The USER undertakes to adopt measures needed to protect the
copyright of RESOURCES and portions thereof and undertakes to take
all reasonable steps to ensure that no unauthorised use is made of
RESOURCES and of any copies or extracts thereof.
4. Should the USER by itself or anyone acting on its behalf wilfully
fail to comply with any of the conditions in this agreement (save
with the written consent of the DISTRIBUTORS) this agreement shall
terminate after 1 month's notice in writing from the DISTRIBUTORS.
Such termination shall be without prejudice to any claim which the
DISTRIBUTORS may have either for monies due and/or damages and/or
otherwise.
5. Failure by the DISTRIBUTORS to exercise or enforce any rights in
this agreement shall not be deemed to be a waiver of any such
right nor operate so as to bar the exercise or enforcement thereof
at any time or times thereafter.
6. The DISTRIBUTORS give no warranties and make no representation
that the RESOURCES will be suitable for any particular purpose,
accepts no responsibility for any limitations or errors within the
RESOURCES, and accepts no liability for any damages or losses
which may arise from USER's use of the RESOURCES.
